Integrated Diligence Connects Capacity, Systems, and Scalability for Growth
The Challenge
A client evaluating the acquisition of a growing manufacturer needed to understand whether the company’s operations and technology platform could support continued expansion. The business had several strengths, including experienced leadership, modern equipment, a solid operational foundation, and scalable cloud-based systems. However, key processes remained highly manual, creating potential constraints as volume increased.
Production planning relied on spreadsheets, WIP inventory was not tracked within the system, procurement decisions were driven largely by historical consumption and inventory levels, and enterprise reporting required manual consolidation. In addition to these execution challenges, the client needed a clear view of capacity, supply chain concentration, safety, cybersecurity, IT governance, and other risks that could affect scalability after close.
Our Approach
TriVista conducted integrated Operations and IT due diligence workstreams to evaluate the target’s ability to support the investment thesis and scale effectively.
The Operations team assessed management systems, safety, quality, plant layout and flow, equipment, labor, capacity, continuous improvement, SIOP, inventory, sourcing, and procurement. In parallel, the IT team reviewed business enablement, application and infrastructure scalability, data management, cybersecurity, IT operations, organizational capabilities, governance, and emerging technology readiness.
By combining facility observations, management interviews, process mapping, data analysis, benchmarking, and technology assessment, TriVista created a connected view of how operational practices and systems capabilities were either supporting or constraining growth. This integrated approach allowed the client to see not only where capacity existed, but also what process, technology, and organizational changes would be required to unlock it.
The Results
TriVista’s diligence found that the company had a strong foundation for continued growth, with approximately 2x growth potential across several major production areas within the existing footprint and installed asset base. Realizing that potential would depend on successful labor development, cross-training, shift expansion, and targeted efficiency improvements.
The assessment also clarified the operational and technology capabilities needed to scale with control. Priority actions included enabling system-based production planning and WIP tracking, maturing the SIOP process, strengthening strategic sourcing and supplier redundancy, implementing standardized work, improving performance visibility, formalizing internal IT governance, centralizing reporting, and enhancing cybersecurity and resilience measures.
The resulting roadmap gave the client a practical view of both the upside and the work required to achieve it. By evaluating operations and IT together, TriVista helped confirm the scalability of the platform, highlight critical risk areas, and define the actions needed to support growth after the acquisition.
